1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you" or "user") and BuyStartup ("we", "us", or "our") regarding your access to and use of our website, platform, and related services (collectively, the "Services").

By creating an account, subscribing to a Featured Spot or Global Banner, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. Accounts and Registration

You are responsible for maintaining the confidentiality of your credentials.
You must provide accurate, current, and complete information during registration.
You are solely responsible for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized access or use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms.

4. License and Use of the Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You agree not to:

Copy, modify, distribute, or reverse engineer any part of the platform.
Use the Services to build a competing product or service.
Sell, resell, rent, or sublicense access to the Services.
Circumvent, disable, or interfere with security features.
Use automated tools (scrapers, bots) without our prior written consent.

5. Subscriptions, Billing, and Payments

Pricing — subscription fees for Featured Spots and Global Banners are displayed at the time of purchase and may change with prior notice.
Billing — fees are charged recurring (monthly) for the promotional period depending on the product selected.
Payments — all transactions are processed securely by Polar.sh, our payment provider.
Renewals — subscriptions renew automatically unless canceled before the renewal date.
Refunds — due to the digital nature of the product, fees are generally non-refundable, except as required by law or where the product is materially defective.
Taxes — you are responsible for any applicable taxes, fees, or duties.

6. Featured Spots and Global Banners

The platform offers paid promotional placements for startups:

Category Top ("Featured Spots") — a startup may be promoted to the top of a specific category's directory listing.
Global Banner — a startup may be promoted through a banner displayed globally across the platform.

By purchasing a Featured Spot or Global Banner, you agree to the following:

Compliance — the promoted startup and its listing content must at all times comply with these Terms, our community standards, applicable law, and our advertising policies.
Quota — spots are subject to availability and enforced global quotas (for example, a limited number of active spots per category). Purchasing does not guarantee indefinite placement if quotas are full.
Accuracy — you are responsible for the accuracy of the listing and promotional content displayed in the spot or banner.
Termination — promotional access ends at the end of the paid period unless the subscription is canceled or revoked as described below.

6.1 Revocation, Moderation, and Control

We explicitly reserve the right of revocation, moderation, and control over any Featured Spot or Global Banner purchased or displayed on the platform. We may, at our sole discretion and without prior notice, remove, suspend, de-list, or terminate any spot or banner, and/or cancel the associated subscription, if the listing, the startup, or its content:

Violates these Terms, our community standards, or our advertising policies.
Violates applicable law or regulatory requirements.
Poses a security risk, contains malicious, fraudulent, deceptive, or misleading content.
Harms the reputation, safety, or security of the platform, its users, or third parties.
Is associated with activity we reasonably determine to be harmful, unlawful, or otherwise in breach of good faith.

In the event of a serious breach of these Terms, you agree that you shall have no right to claim a refund, compensation, or any form of claim in respect of any remaining promotional period or amounts already paid. Non-serious or involuntary terminations caused by platform error may, at our sole discretion, be eligible for a partial credit.

7. Acceptable Use

You agree not to use the Services to:

Violate any applicable law or regulation.
Infringe the intellectual property or privacy rights of others.
Transmit malware, viruses, or other harmful code.
Harass, abuse, or discriminate against others.
Attempt to gain unauthorized access to systems or networks.

We may suspend or terminate access to any user who violates this section.

8. Intellectual Property

The Services, including all software, design, text, graphics, logos, and documentation, are the exclusive property of BuyStartup or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of the content and data you create and store in the platform. You grant us a limited license to host, process, and store that content solely to provide the Services to you.

9. Third-Party Services

The Services may integrate with third-party services such as payment processors, authentication providers, and analytics tools. Your use of those services is subject to their respective terms and policies. We are not responsible for the availability or behavior of third-party services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUYSTARTUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total aggregate liability shall not exceed the amount you paid us during the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless BuyStartup and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

You may stop using the Services at any time and cancel your subscription through the dashboard or by contacting us. We may terminate or suspend your access at our discretion if you breach these Terms.

Upon termination:

Your access to the Services is revoked.
Your data will be deleted after a grace period of up to 30 days, unless retention is required by law.
Any amounts already paid are non-refundable, except as required by law or as expressly provided in Section 6.1.
